All prices are in USD and are subject to change. We will notify you of any price changes at least 30 days in advance. Price changes will apply to your next billing cycle.

Billing Intervals: You may choose monthly or yearly billing. Yearly subscriptions are Billed Yearly and provide a 20% discount compared to monthly subscriptions.

Trial Duration: Varies depending on referral status and current promotions.

Trial Limits (per month):

Restrictions: Trial users do not have access to Jira integration. Trial access is limited to community support.

One Trial Per User: Each user is eligible for one trial period. We implement fraud prevention measures to prevent trial abuse.

At the end of your trial period:

• If you subscribe to a paid plan, your subscription begins immediately

• If you do not subscribe, your account will revert to free tier limitations

• You will not be charged unless you explicitly subscribe to a paid plan

Payments are processed through Stripe, a third-party payment processor. By subscribing, you agree to Stripe's terms of service and privacy policy.

Payment Methods: We accept major credit cards, debit cards, and other payment methods supported by Stripe.

Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.

Monthly Subscriptions: Billed monthly on the same date each month (or the last day of the month if your subscription started on a day that doesn't exist in subsequent months).

Yearly Subscriptions: Billed annually on the anniversary of your subscription start date.

Usage Limits: Usage limits reset at the beginning of each billing period. Unused credits, words, and work items do not carry over to the next billing period.

If a payment fails:

• We will attempt to retry the payment automatically

• You will receive email notifications about the payment failure

• Your subscription status will be updated to "past_due"

• After multiple failed attempts, your subscription may be canceled

You are responsible for ensuring your payment method is valid and has sufficient funds. You can update your payment method at any time through your account settings or the Stripe customer portal.

All prices are exclusive of applicable taxes, duties, and fees. You are responsible for paying all taxes associated with your subscription based on your location. Stripe may calculate and collect applicable taxes automatically.

Supported File Types: PDF, DOC, DOCX, TXT (for main processing). JPG, PNG (for reference context only).

File Size Limits:

• Trial: 5MB per file

• PRO: 25MB per file

• SCALE: 100MB per file

Storage Limits: Total storage is limited by your plan. You are responsible for managing your storage usage and deleting files when no longer needed.

You may cancel your subscription at any time through:

• Your account settings in the Service

• The Stripe customer portal

• Contacting us directly

Cancellation Options:

• Immediate Cancellation: Your subscription ends immediately, and you will not be charged for future billing periods

• Cancel at Period End: Your subscription continues until the end of the current billing period, then cancels automatically

After cancellation, you will lose access to paid features at the end of your current billing period (or immediately if you choose immediate cancellation). Your data will be retained according to our Privacy Policy.

Exceptions: Refunds may be provided at our sole discretion in exceptional circumstances, such as:

• Technical issues that prevent you from using the Service for an extended period

• Billing errors on our part

• Duplicate charges

To request a refund, please contact us. Refund requests must be submitted within 30 days of the charge.

Upgrades: If you upgrade your plan, the new plan and pricing take effect immediately. You will be charged a prorated amount for the remainder of your current billing period.

Downgrades: If you downgrade your plan, the new plan takes effect at the beginning of your next billing period. You will continue to have access to your current plan's features until the end of the current billing period.

Billing Interval Changes: Changing from monthly to yearly (or vice versa) may result in a prorated charge or credit.

You retain all ownership rights to the content you submit, upload, or create through the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to:

• Store, process, and display Your Content to provide the Service

• Use Your Content to generate work items and provide AI-powered features

• Share Your Content with AI providers (Anthropic, OpenAI) as necessary to provide the Service

This license is limited to providing the Service and does not grant us rights to use Your Content for any other purpose, including training AI models.

You are solely responsible for:

• The accuracy, legality, and appropriateness of Your Content

• Ensuring you have all necessary rights and permissions to use and share Your Content

• Reviewing and validating AI-generated work items before using them

• Complying with all applicable laws and regulations when using the Service

• Not submitting content that violates third-party rights or contains sensitive information without authorization

You may delete Your Content at any time through the Service interface. Deleted content is permanently removed from our systems within 30 days. We are not responsible for recovering deleted content.

AI models are powerful but not perfect. They may:

• Misunderstand context or requirements

• Miss important details or nuances

• Generate incomplete or inaccurate work items

• Require multiple iterations to achieve desired results

The Service works best when you provide clear, detailed, and well-structured input. Always review AI-generated content before using it in production.

We do not warrant or guarantee the accuracy, completeness, or suitability of AI-generated content. You use AI-generated content at your own risk and are solely responsible for validating and using such content appropriately.

The Service uses third-party AI providers (Anthropic and/or OpenAI). Your use of the Service is also subject to:

• Anthropic's terms of service and privacy policy

• OpenAI's terms of service and privacy policy

We are not responsible for the actions, policies, or terms of third-party AI providers.

The Service, including all software, code, designs, graphics, logos, text, and other materials, is owned by Ragent Ltd. and protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms. This license does not grant you any rights to copy, modify, distribute, or create derivative works of the Service.

You retain all ownership rights to Your Content. We do not claim ownership of Your Content. However, by using the Service, you grant us the limited license described in Section 8 to provide the Service functionality.

If you provide us with feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without any obligation to compensate you.

The Service integrates with Atlassian's Jira project management platform. By connecting your Jira account:

• You authorize us to access your Jira instance through OAuth authentication

• You are responsible for ensuring you have appropriate permissions in Jira

• You must comply with Atlassian's terms of service and privacy policy

• You are responsible for any actions taken in Jira through the Service

Jira Connection Limits:

• Trial: No Jira integration

• PRO: 1 Jira account

• SCALE: Up to 5 Jira accounts

We are not responsible for any issues, errors, or data loss in your Jira instance. You can disconnect your Jira integration at any time through your account settings.

The Service uses third-party services, including:

• Stripe: Payment processing (subject to Stripe's terms)

• Firebase/Google Cloud: Data storage and authentication (subject to Google's terms)

• Anthropic/OpenAI: AI processing (subject to their terms)

• Jira: Project management integration (subject to Atlassian's terms)

We are not responsible for the availability, performance, or terms of third-party services. Your use of third-party services is subject to their respective terms of service and privacy policies.

We reserve the right to:

• Modify, update, or discontinue features of the Service at any time

• Change pricing, plans, or usage limits with 30 days' notice

• Add, remove, or modify third-party integrations

• Implement new features or functionality

We will notify you of material changes to the Service, but we are not obligated to maintain specific features or functionality.

We strive to maintain high availability of the Service but do not guarantee:

• Uninterrupted or error-free access to the Service

• That the Service will be available at all times

• That errors or defects will be corrected

• That the Service will meet your specific requirements

The Service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any losses resulting from Service unavailability.

You may terminate your account at any time by:

• Canceling your subscription (if applicable)

• Deleting your account through your account settings

• Contacting us to request account deletion

Upon termination, you will lose access to the Service and your data will be handled according to our Privacy Policy. You will not receive a refund for any unused portion of your subscription.

We may suspend or terminate your account immediately, without notice, if:

• You violate these Terms or our Privacy Policy

• You engage in fraudulent, illegal, or harmful activities

• You abuse the Service or attempt to circumvent usage limits

• You fail to pay subscription fees when due

• We are required to do so by law or court order

• Your account poses a security risk to us or other users

Upon termination, you will immediately lose access to the Service. We may delete your account and data in accordance with our Privacy Policy and legal obligations.

We may suspend your account temporarily while investigating potential violations of these Terms. During suspension, you will not have access to the Service. If the investigation determines that you have violated these Terms, we may terminate your account permanently.

Upon termination:

• Your right to access and use the Service immediately ceases

• All outstanding fees become immediately due and payable

• We may delete your account and data (subject to legal retention requirements)

• Sections of these Terms that by their nature should survive termination will survive

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including but not limited to:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement

• Warranties that the Service will be uninterrupted, error-free, or secure

• Warranties regarding the accuracy, completeness, or reliability of AI-generated content

• Warranties that defects will be corrected

To the maximum extent permitted by law, in no event shall Ragent Ltd., its officers, directors, employees, or agents be liable for:

• Any indirect, incidental, special, consequential, or punitive damages

• Loss of profits, revenue, data, or business opportunities

• Damages resulting from use or inability to use the Service

• Damages resulting from errors, omissions, or inaccuracies in AI-generated content

• Damages resulting from unauthorized access to or use of your account

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

Before filing a formal legal claim, you agree to contact us first to attempt to resolve the dispute informally. We will make good faith efforts to resolve disputes within 60 days.

If we cannot resolve a dispute informally, you agree that any dispute arising from or related to these Terms or the Service will be resolved through binding arbitration rather than in court, except for:

• Small claims court actions (if applicable)

• Intellectual property disputes

• Disputes that qualify for injunctive relief

Arbitration will be conducted under the rules of a recognized arbitration organization. You waive your right to a jury trial and to participate in class action lawsuits.

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us.

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms or transfer our rights and obligations to a third party without your consent.

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, internet outages, or failures of third-party services.
